ReproIQ Terms of Use
1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of the ReproIQ platform, websites, applications, workflows, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
2. Description of Services
ReproIQ provides workflow coordination, intake, readiness, operational support, and data management tools designed to support healthcare and fertility-related workflows.
The Services may include:
· patient intake and onboarding workflows
· scheduling and workflow coordination
· eligibility and insurance-related workflow support
· messaging and notification tools
· dashboard and operational workflow functionality
· integrations with healthcare and third-party systems
ReproIQ may modify, suspend, or discontinue portions of the Services at any time.
3. Eligibility and Authorized Use
You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.
You agree to use the Services only for lawful purposes and in accordance with these Terms.
4. Accounts and Security
Users may be required to create an account to access portions of the Services.
You are responsible for:
· maintaining the confidentiality of your credentials
· restricting access to your account
· all activities occurring under your account
You agree to notify ReproIQ promptly of any unauthorized access or security incident involving your account.
5. No Medical Advice
ReproIQ does not provide medical advice, diagnosis, treatment, or clinical decision-making.
The Services are intended to support workflow coordination, operational readiness, intake management, and communication processes only.
Information provided through the Services should not replace consultation with qualified healthcare professionals.
Always seek advice from licensed healthcare providers regarding medical conditions or treatment decisions.
6. No Emergency Use
The Services are not intended for emergency communications or urgent medical situations.
If you believe you are experiencing a medical emergency, call 911 or contact your healthcare provider immediately.
7. Relationship to Healthcare Providers
ReproIQ may provide workflow and operational support services to healthcare providers, clinics, coordinators, and related organizations.
Use of ReproIQ does not create a physician-patient relationship between ReproIQ and any user.
Healthcare providers remain solely responsible for:
· medical decisions
· diagnosis and treatment
· clinical care
· compliance with applicable laws and professional obligations
8. User Responsibilities
You agree to:
· provide accurate and complete information
· update information when necessary
· use the Services lawfully
· avoid submitting false, misleading, or unauthorized information
You may not:
· interfere with platform security
· attempt unauthorized access
· misuse messaging systems
· transmit malicious software or harmful content
9. Communications and SMS Consent
By providing your contact information and consenting to communications, you agree that ReproIQ may send:
· account verification messages
· intake reminders
· workflow coordination notifications
· scheduling-related communications
· operational updates related to your account
Message frequency varies. Message and data rates may apply.
You may opt out of SMS communications at any time by replying STOP.
You may request assistance by replying HELP or contacting support@reproiq.com.
Consent to receive communications is not a condition of receiving healthcare services.
10. Privacy and Data Handling
Your use of the Services is also governed by the ReproIQ Privacy Policy.
ReproIQ uses commercially reasonable administrative, technical, and physical safeguards designed to protect user information.
However, no system can guarantee absolute security.
11. HIPAA and Business Associate Relationships
When ReproIQ performs services for healthcare providers or other covered entities involving protected health information (“PHI”), ReproIQ will use and disclose such information only as permitted by applicable Business Associate Agreements and applicable law.
Healthcare providers remain responsible for determining whether ReproIQ is being used in accordance with their compliance obligations.
12. Third-Party Services and Integrations
The Services may integrate with third-party vendors, systems, APIs, or platforms, including:
· healthcare interoperability systems
· eligibility and claims vendors
· authentication providers
· messaging platforms
· hosting and cloud providers
ReproIQ is not responsible for outages, interruptions, or failures caused by third-party systems outside its reasonable control.
13. Intellectual Property
The Services, including software, workflows, trademarks, logos, designs, and content, are owned by or licensed to ReproIQ and are protected by applicable intellectual property laws.
You may not:
· copy
· distribute
· modify
· reverse engineer
· commercially exploit
any portion of the Services without prior written permission.
14. Feedback
If you provide suggestions, comments, or feedback regarding the Services, ReproIQ may use such feedback without restriction or compensation.
15. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, ReproIQ disclaims all warranties, express or implied, including:
· merchantability
· fitness for a particular purpose
· non-infringement
· uninterrupted availability
· accuracy or completeness of information
16. Limitation of Liability
To the fullest extent permitted by law, ReproIQ and its affiliates, officers, employees, contractors, and licensors shall not be liable for:

· lost profits

· business interruption
arising from or related to use of the Services.
17. Indemnification
You agree to indemnify and hold harmless ReproIQ and its affiliates, employees, officers, and contractors from claims, liabilities, damages, losses, and expenses arising from:
· your use of the Services
· your violation of these Terms
· your violation of applicable laws or third-party rights
18. Suspension or Termination
ReproIQ may suspend or terminate access to the Services at any time if:
· these Terms are violated
· misuse is suspected
· security concerns arise
· continued access may create legal or operational risk
19. Changes to Terms
ReproIQ may update these Terms periodically.
Updated Terms become effective upon posting. Continued use of the Services after updates constitutes acceptance of the revised Terms.
20. Governing Law
These Terms shall be governed by and construed under the laws of the State of Texas, without regard to conflict-of-law principles.
